NXT Cloud Chat – Terms & Conditions

These Terms & Conditions govern your access to and use of the NXT Cloud Chat WordPress plugin (“Product”) and the website nxtcloudchat.com. The Product is developed and distributed by NXTWEBSITE. By purchasing, installing, or using the Product, you agree to be bound by these Terms.

1. Product Nature

NXT Cloud Chat is a self-hosted WordPress plugin that integrates with the official WhatsApp Cloud API. It is a technical integration tool and does not provide messaging services, telecommunications services, or intermediary communication services.

2. License Grant

Upon purchase, you are granted a limited, non-exclusive, non-transferable license to use the Product on permitted domains according to your license type.

  • License keys are required for Pro features, updates, and support.
  • You may not resell, redistribute, sublicense, or share your license key.
  • Reverse engineering or unauthorized modification for redistribution is prohibited.

3. Free and Pro Versions

The Product may be offered in both free and paid (Pro) versions. Pro access requires a valid license key. License validity, renewal terms, and update access depend on the purchased plan.

4. WhatsApp Cloud API & Third-Party Dependency

The Product depends on WhatsApp Cloud API services provided by Meta Platforms, Inc. NXTWEBSITE does not control:

  • Meta approval processes
  • API rate limits
  • Conversation charges
  • Account suspensions or bans
  • Policy changes by Meta

You are solely responsible for compliance with WhatsApp Business Platform policies and applicable laws.

5. User Responsibilities

You agree to:

  • Maintain a compatible WordPress installation and hosting environment.
  • Ensure server security and proper configuration.
  • Comply with all applicable data protection and anti-spam regulations.
  • Use the Product only for lawful business communication.

6. Prohibited Use

You may not use the Product for:

  • Unsolicited bulk messaging or spam.
  • Illegal, harmful, or abusive content.
  • Violations of WhatsApp or Meta policies.
  • License key sharing or unauthorized redistribution.

7. Technical Limitations

Performance depends on hosting quality, server configuration, and third-party API limits. NXTWEBSITE does not guarantee uninterrupted service, message delivery, or API stability.

8. Support

Support is provided through the official Support Portal. Support is limited to core plugin functionality and does not include hosting configuration, custom development, or third-party conflicts unless separately agreed.

9. Refund Policy

10. Privacy Policy

Your use of the Product and website is also subject to our NXT Cloud Chat Privacy Policy and the general NXTWEBSITE Privacy Policy.

11. General Terms Reference

These Product-specific Terms operate alongside the general NXTWEBSITE Terms & Conditions. In case of any conflict, the Product-specific Terms shall prevail for NXT Cloud Chat.

12. Intellectual Property

All plugin code, branding, trademarks, and related materials remain the intellectual property of NXTWEBSITE. Unauthorized reproduction or distribution is strictly prohibited.

13. Limitation of Liability

To the maximum extent permitted by law, NXTWEBSITE shall not be liable for indirect, incidental, or consequential damages including but not limited to business loss, revenue loss, data loss, service interruption, or third-party API failures.

Total liability, if any, shall not exceed the amount paid for the Product license.

14. Indemnification

You agree to indemnify and hold harmless NXTWEBSITE from claims, damages, or legal disputes arising from misuse of the Product or violation of applicable laws or third-party policies.

15. Governing Law

These Terms are governed by the laws of India. Jurisdiction shall lie exclusively in Telangana, India, subject to mandatory consumer protections applicable in your country of residence.

16. Modifications

NXTWEBSITE reserves the right to modify these Terms at any time. Continued use of the Product constitutes acceptance of the updated Terms.
